Potential award value of each pair of contracts exceeded $50,000,000 per for 10 five-year IDIQ contracts awarded in 2009 to Torres by General Services Administration year depending on funds available to GSA. Required evaluation and interpretation of federal solicitation and preparation of sophisticated proposal for government contracts awarded to Torres. Result was that Torres was able to enter successfully a new market in government contracting with the GSA in California. Professional Experience • Extensive experience in federal government contracts and regulations including Federal Acquisition Regulations (FAR), DFARS, Cost Accounting Standards, and Foreign Corrupt Practices Act, risk management, insurance coverage, bonding, indemnities, licensing requirements, environmental matters, and legal policies and requirements.. • Legal Counsel with extensive experience in drafting, negotiating, and proposal preparation of custom, complex contracts, development contracts, turn-key EPC contracts, design-build engineering and construction contracts, power plants, transmission lines, and operation and maintenance agreements. • Served as lead counsel with respect to risk management, licensing, insurance, bonding of prime contracts and subcontracts, indemnities, certified payrolls, union requirements, claims, change orders, retention, payment of subcontractors, procurement matters, releases, substantial completion, final completion, notices of completion, and audits. Experienced in drafting of subcontracts and purchase orders including general terms and conditions to comply with government regulations and company policies and procedures.
• Extensive experience in international commercial transactions including proposals and negotiation of agreements to be performed in Europe, Asia, Middle East, Latin America, and Russia with Parsons Corporation including coordination with counsel and project management in these countries. • Transactional legal work including drafting and negotiating commercial and government contracts including prime contracts, master contracts/IDIQ contracts with task orders, subcontracts, consulting agreements, and technical services agreements. • Business agreements including business alliances, teaming agreements, memoranda of understanding, marketing agreements, development contracts, professional service agreements, nondisclosure agreements, and joint venture agreements. Extensive experience in client interaction and business development services, reviewing RFP’s, proposal preparation, and negotiation of sales agreements with clients. • Extensive experience in working with corporate management, business development, project management and technical staff on a concurrent, multi-project basis both domestically and internationally. • Real property transactions including sale and purchase agreements of commercial property, leases of offices and job sites, warehouses, renovations, tenant improvements, and dredging of waterways, and construction of facilities, sewers, waterways, bridges, pipelines, power plants, computer facilities, schools, and other structures. • Experienced in finance and credit transactions for commercial transactions including bid bonds, parent guarantees, performance and payment bonds, letters of credit, both domestically and internationally. • Dispute resolution including claims negotiations, mediation, arbitration, and litigation management, management and retention of outside counsel, both domestically and internationally.
